Terms and Conditions

These Terms govern use of the Headstart Growth and Media website and provide a baseline for our website, brand and related services. A calculator result is only an estimate. The formal quotation, statement of work or signed contract confirms the actual scope, price, delivery date and any project-specific terms.

1. Identity, scope and acceptance

Headstart Growth and Media is a trading name of Wordsmith Language Solutions, a sole proprietorship owned by Mayura Sumant Satarkar. References to “Headstart”, “we”, “us” or “our” mean that business. Our principal business address is 106 Bhaskar Jyoti, Laxmi Road, Narayan Peth, Pune 411030.

By using this website, you agree to the website-use parts of these Terms. A service relationship begins only when the parties accept a formal quotation, statement of work or contract through the method stated in that document. If project-specific terms conflict with these Terms, the project-specific terms control for that project.

Eligibility and authority

Our services are intended for businesses. You must be legally competent to contract and, when acting for an organisation, authorised to bind it. We may ask for evidence of authority. Overseas work is accepted only under a separately negotiated contract.

2. Website information and acceptable use

Website content describes our current services and standard approach. It is general information, not professional legal, tax, financial or investment advice. Published prices and availability may change, and every project depends on our review.

You must not misuse the website, attempt unauthorised access, introduce harmful code, interfere with its operation, scrape it unreasonably, impersonate another person or submit unlawful, deceptive or abusive material. Nothing here grants permission to copy Headstart's branding, text, graphics, layouts or code.

3. Calculator estimates are not formal quotations

The calculator uses your package and add-on choices to produce an indicative, itemised estimate. It does not take payment, reserve a production slot, commit a delivery date or create an automated quotation.

A salesperson reviews your requirements before Headstart confirms the scope, exclusions, price and delivery date in a formal quotation or contract. A different page count, feature, integration, third-party cost or requirement may change the price. A quote reference identifies the estimate but does not convert it into a binding offer.

Urgent Bird offer

Where shown, the 10% Urgent Bird offer applies only if Headstart confirms the scope and receives the required 50% advance on the same calendar day. It applies to the eligible website project in the approved quotation, not automatically to third-party costs or separately quoted services. The formal quotation confirms the discounted amount.

4. Prices, GST, invoices and payment

Published prices are in Indian rupees and exclude GST unless expressly stated otherwise. Wordsmith Language Solutions, GSTIN 27BVUPP7788J2Z7, issues the applicable invoice or receipt. The calculator shows GST at 18% separately, but the tax treatment in the formal invoice controls.

Unless a quotation states otherwise, payment is 50% advance and 50% on delivery. For websites, the final balance is due before deployment to the client's domain and hosting server. For other services, it is due before any final files are handed over.

A payment link is issued only after salesperson review. The provider's terms, privacy notice and transaction rules apply to payment. Headstart may pause work, deployment, handover and further service after notice of an overdue amount.

Advance and refunds

The 50% advance is non-refundable once paid because it reserves production capacity and authorises work to begin. This does not remove a refund or remedy that cannot lawfully be excluded, including where Headstart fails to provide the contracted service. A different arrangement must be stated in the accepted quotation.

5. Project commencement and client responsibilities

A project starts only after the scope and delivery date are agreed, the advance is received, and all required kickoff inputs are supplied. Inputs may include a completed questionnaire, accurate business information, branding assets, content, approvals, account access and reference material.

The client must:

  • provide complete, accurate and lawful information within the agreed time;
  • appoint an authorised decision-maker and provide consolidated feedback;
  • secure required rights and approvals for supplied material;
  • maintain hosting, domain and third-party accounts unless agreed otherwise;
  • review factual, regulatory and industry-specific claims before approval; and
  • not ask Headstart to copy another party's website, identity or protected work.

Headstart may decline unlawful, deceptive, infringing, abusive or technically unsafe work. Our standard website service does not cover e-commerce stores, complex web apps, SaaS products, dashboards or complex login portals.

6. Timelines, review, delivery and scope changes

The formal quotation confirms the delivery date after requirements are understood. A published 72-hour reference applies only where the quotation expressly confirms an eligible project and its kickoff conditions. No delivery clock begins before every stated kickoff requirement is met.

If client information, access, approval or feedback is delayed, the schedule moves reasonably and Headstart may reschedule production after notice. A third-party outage, platform review or other dependency may also affect timing.

Feedback and acceptance

The client must review deliverables and provide consolidated feedback or express approval. Silence does not automatically constitute acceptance. Website deployment and other final-file handover follow approval and final payment.

Revisions and scope changes

Revision allowances and additional charges are stated in the quotation. A revision adjusts agreed work. A new page, feature, deliverable, direction or requirement outside the approved scope is a change request. Headstart will confirm the additional fee and timing in writing before doing that work.

Defect correction

Headstart will correct a reproducible defect reported within 14 calendar days after delivery if it causes the deliverable to materially depart from the agreed scope. This excludes new requirements, client or third-party changes, unsupported environments, hosting failures, misuse and problems outside Headstart's control.

7. Cancellation, suspension and termination

A client may cancel by written notice. The advance remains non-refundable, subject to mandatory legal rights and any different term in the accepted quotation. Work already delivered, third-party commitments and approved additional charges remain payable.

Headstart may suspend or terminate work for non-payment, unlawful or abusive material, missing cooperation, security risk, unauthorised use or material breach. We will give reasonable notice and an opportunity to remedy the issue where practical and lawful.

If Headstart ends a project for convenience without client breach, we will account fairly for work performed and refund amounts paid for work we will not provide. Termination does not remove accrued payment duties, confidentiality obligations or provisions intended to survive.

8. Third-party services and partners

Accounts, subscriptions and approvals

The client owns and pays for hosting, domains, subscriptions, transaction fees and platform accounts unless the quotation says otherwise. Third-party terms, availability, policy changes, reviews and approvals remain outside Headstart's control. We do not guarantee that any third party will approve or continue a service.

Photography

A photographer introduced or coordinated by Headstart is an independent service provider unless the quotation states otherwise. The photographer's fee, availability, usage rights, cancellation terms and performance should be confirmed for that engagement. Headstart remains responsible only for coordination obligations it expressly accepts.

Logo and legal consultation

Logo and brand-identity work does not include trademark searching, clearance, registration or legal advice. Any lawyer or law firm introduced by Headstart acts under a separate engagement and is responsible for its own advice. Logo delivery does not guarantee trademark registration or freedom from every third-party claim.

9. Intellectual property and project materials

Client-provided material

The client retains ownership of material it provides and grants Headstart a limited licence to use, adapt and reproduce it for the project. The client confirms it has the necessary rights and that its instructions and material are lawful.

Final website and website files

After full payment, the client owns the final approved website created specifically for it, excluding Headstart's reusable components and third-party material. Headstart deploys it to the client's hosting but retains custody of the website files and working archive. Editable or standalone website source files are not delivered unless the quotation includes them.

Ownership does not transfer Headstart's pre-existing or reusable code, tools, methods, templates, prompts, libraries, know-how or generic components. Headstart grants the client the rights reasonably required to operate the completed website as deployed.

Graphics, working files and unused concepts

After full payment, the client owns final approved exported graphics created specifically for the project. Editable design working files are excluded unless quoted. Headstart retains unused concepts, drafts, production files and working files.

Third-party material

Fonts, stock media, software, plugins, AI services and other third-party material remain subject to their own licences. Headstart transfers or sublicenses only rights those licences permit. The client is responsible for ongoing licence, subscription or attribution requirements identified at handover.

Portfolio and testimonials

Headstart displays completed client work only with prior written permission. Testimonials require permission and client approval of any edit for length or clarity.

10. Confidentiality

Each party must protect the other's non-public business, technical and project information and use it only for the engagement. This duty excludes information already public without breach, independently developed, lawfully received from another source, or required to be disclosed by law. The receiving party should give lawful advance notice where reasonably possible.

11. Service limitations and fair disclaimers

Headstart will perform the agreed service with reasonable care and skill and deliver work that materially matches the accepted scope. Creative judgement is subjective, so a preference change is handled through the revision or change-request process rather than treated automatically as a defect.

Except for express commitments in the accepted contract and rights that cannot be excluded, the website and services are provided without implied promises about uninterrupted availability, commercial results or fitness for an unstated purpose.

  • On-page SEO work does not guarantee rankings, traffic, enquiries or inclusion in an AI-generated answer.
  • Logo design does not guarantee trademark registration, clearance or third-party approval.
  • Analytics and third-party data may be incomplete.
  • Headstart does not guarantee third-party uptime, compatibility, policies or continued availability.
  • Regulated claims supplied by the client remain subject to the client's professional review.

12. Liability, client responsibility and force majeure

To the extent permitted by law, Headstart's total liability arising from an affected project is limited to fees paid to Headstart for that project. Headstart is not liable for indirect, incidental or consequential loss, lost profit, lost opportunity, lost data or a third-party service failure.

These limits do not apply where liability cannot lawfully be limited or excluded. Nothing excludes liability for fraud, wilful misconduct or another non-excludable liability.

Client-provided material

The client will protect and reimburse Headstart against a third-party claim, loss or reasonable cost caused by unlawful or infringing client material or instructions, except to the extent Headstart caused or knowingly continued the violation. Headstart will give reasonable notice and cooperation.

Events beyond reasonable control

Neither party is responsible for delay caused by an event beyond reasonable control. The affected party must give reasonable notice, limit the impact where practical and resume performance when possible.

13. Consumer rights, disputes, changes and notices

Consumer rights

Headstart offers services to businesses. Whether a person is legally a consumer depends on the transaction and applicable law. Nothing here removes a statutory consumer right, remedy or forum that cannot be excluded.

Dispute resolution and governing law

The parties should first send a written description of a dispute and try in good faith to resolve it. These Terms and the service relationship are governed by Indian law. Subject to any mandatory consumer forum or other non-excludable jurisdiction, competent courts in Pune, Maharashtra have jurisdiction. These Terms do not create an arbitration agreement.

Changes

We may update website-use terms by publishing a revised effective date. Changes do not rewrite an accepted project contract unless both parties agree or the contract permits the change.
